Terms of Service

These terms govern development work carried out by CordIQ ("we", "us") for a client ("you"). CordIQ is the name two independent developers work under. A signed quote or a written approval by email or Discord constitutes acceptance.

1. Scope of work

Each project is defined by a written quote listing features, milestones, timeline and a fixed price. Anything not in that document is out of scope, and we will quote it separately rather than absorb it silently.

You own the code. On receipt of final payment, all intellectual property rights in the deliverables transfer to you in full - source code, commit history, documentation and deployment configuration.

Two carve-outs, stated plainly:

We retain no kill switch, no licence key and no ongoing control over your bot.

5. What we will not build

We decline work that violates Discord's terms or applicable law, including selfbots and user-account automation, mass DM or spam tooling, scrapers harvesting user data without consent, ban-evasion tooling, and anything designed to harass.

6. Revisions and acceptance

Revisions within the agreed scope are unlimited. If a delivered feature does not behave as the specification describes, we fix it at no cost.

You have 7 days after delivery of each milestone to raise issues. Absent a response, the milestone is deemed accepted.

7. Warranty and support

Every project includes a bug-fix window - 30 days on Starter, 90 days on Growth - covering defects in our work. It does not cover new features, changes you make yourself, or breakage caused by third-party services.

Discord changes its API regularly. Keeping a bot current beyond the warranty window is quoted as new work.

8. Care plans (optional)

After the warranty window in section 7 ends, you may put a bot on a monthly care plan. It is entirely optional - declining one does not affect anything we have already delivered, and the bot remains yours either way.

What a response time means. It is the time in which one of us replies to you, not the time in which a problem is solved. We work Monday to Friday; requests sent outside those days are counted from the next business day.

Included hours. The four hours on Priority are for small changes and do not carry over into the following month. Work beyond them, and any new feature on either plan, is quoted separately as new work.

What care plans do not cover. Hosting, infrastructure and its cost; availability of your bot or your server; outages or breaking changes at Discord or any other third party; damage caused by changes made by you or anyone else after handover. Section 9 applies in full - a care plan is our time, not a hosting or uptime commitment.

Billing and cancellation. Plans are billed monthly or yearly in advance and renew automatically until cancelled. A yearly plan is charged for ten months. You may cancel at any time and cover continues to the end of the period you have already paid for; we do not refund part-used periods. We may cancel with 30 days written notice. Cancelling a plan changes nothing about your ownership of the bot or its source code.

9. Hosting and uptime

We do not host or operate bots on your behalf. Deliverables are deployed onto infrastructure you own and control, and you are responsible for the hosting account, its costs and its availability.

Because we do not run the infrastructure, we give no uptime commitment. We will assist with deployment and configuration at launch, and diagnose defects in our own work during the warranty window in section 7.

10. Cancelling a project

You may cancel at any time. Completed milestones are payable; work in progress is billed pro rata. We may cancel if a project falls outside section 5, if communication stops for more than 14 days, or if payment is overdue - in which case you receive all work completed to that point.

Cancelling a care plan is dealt with separately, in section 8.

11. Confidentiality

We treat your server data, business information and project details as confidential. We will not name you as a client publicly without written permission, and we will not reuse your code or data for another client.

12. Liability

Our total liability under any project is limited to the fees you paid for that project. For a care plan, it is limited to the fees paid for that plan over the preceding twelve months. We are not liable for indirect or consequential losses, including lost revenue or lost data, except where liability cannot be limited by law.

13. Disputes

If something goes wrong, tell us first. Almost everything is settled by a conversation and a revised scope, and we would rather fix a problem than argue about who owns it. We commit to responding to any formal complaint in writing within 14 days.

Where a project requires a governing law and a place of jurisdiction to be fixed, they are set out in the quote for that project and agreed with you before work begins. Nothing in these terms removes a protection that the law of your own country gives you and does not allow to be set aside by agreement.

If any part of these terms is found unenforceable, the rest continues to apply.
